We frequently advise clients on cross-border transactions, collaborating with existing client resources in local jurisdictions or our relationships with a host of international firms that are established leaders in their markets.
Representative Experience
- Advised DuPont de Nemours, Inc. in numerous transactions over the past 20 years, including:
- its spinoff of its Electronics business into a public company (Qnity Electronics, Inc.), where we advised on the negotiation and drafting of more than 200 intercompany agreements to enable Qnity and DuPont to operate independently;
- its acquisition of Donatelle Plastics, a medical device contract manufacturer;
- manufacturing, supply, service, and other agreements for the divestiture of its Mobility & Materials business unit to Celanese for a purchase price of $11 billion; and
- the sale of its multinational Clean Technologies business for $510 million.
- Represented ShoreView Industries, a private equity firm, in:
- completing ten add-on transactions and one divestiture in 2023 for existing portfolio companies;
- the sale of portfolio company Burton Plumbing LLC following six acquisitions in less than two years; and
- investments in current portfolio companies: Crown Products, Inc., 8020 Consulting, LLC, and Diversified Search Group.
- Represented Nordstrom Family Group in the $6.25 billion going-private transaction of iconic Seattle retailer Nordstrom, Inc.
- Represented the Minnesota Timberwolves Limited Partnership in the sale of ownership interests by Taylor Corporation in a transaction, approved by the NBA, valued at $1.5 billion.
- Represented Wealth Enhancement Group LLC (WEG), a private equity-backed wealth management and financial advising firm based in the Twin Cities, in over 100 acquisitions across the country. Ballard’s partnership with WEG has transcended multiple private equity investments and exists in connection with WEG’s growth strategy.
