
Sandra Wintner focuses her practice on finance, and strategic transactions consisting of mergers and acquisitions and licensing transactions.
Sandra has represented banks and other financial institutions in a wide variety of financing transactions, including secured and unsecured revolving credit facilities, term loans, asset-based loans, and syndicated credit facilities. Sandra also has significant experience in representing corporate clients in sophisticated commercial financing transactions.

Representative Matters – Strategic Transactions
- Represented a global pharmaceutical company in a novel collaboration with a manufacturer of a complementary product to offer a joint program to key customers
- Represented a global pharmaceutical company in a complex amendment of an in-license agreement from another global pharmaceutical company
- Represented LAVA Therapeutics in a licensing deal with Seagen to develop, commercialize, and manufacture LAVA-1223, an advanced preclinical asset that targets epidermal growth factor receptor (EGFR)-expressing solid tumors
Representative Matters - Financing
- Represented a heavy equipment distributor in a $1.3 billion acquisition term loan and revolving credit facility, including negotiation of related amendments and consents from existing term lender, seller and original equipment manufacturers
- Represented a national bank as the administrative agent in connection with a $500 million delayed draw term loan to a public processed food and snack company
- Represented an asset-based lender in $65 million secured ABL facility as part of $355 million total financing package to enable $420 million private equity company's acquisition of national provider of engineering, design and services to leading cable providers along with two tuck-in acquisitions
