Jared Sheinberg is an associate in the firm’s Finance Department, where he focuses his practice on real estate matters. He represents a wide range of clients, including financial institutions, investment and commercial banks, insurance companies, private equity and debt funds, REITS, real estate developers, and property owners. Jared advises clients on various real estate financing transactions such as construction and development loan originations, permanent and bridge loans, CMBS loans, preferred equity transactions, revolving credit facilities, leasehold mortgages, mezzanine loans, and other complex financing structures. His experience spans multiple asset classes including multifamily residences, office buildings, industrial properties, affordable housing developments, and retail spaces.

Jared also has significant experience in other aspects of real estate transactions, including acquisitions, dispositions, and leasing of real estate, as well as advising on distressed real estate transactions and associated restructuring and enforcement matters.

Representative Experience 

Representative Matters

  • Representation of a national finance company in connection with a $45 million site development loan in Texas. The representation involved negotiation of subordination agreements with various third-party builder purchasers, real estate diligence and transaction documents involving a Municipal Utility District (MUD), a staggered funding and equity investment structure, and the documentation of various partial release and sale mechanisms scheduled to occur during the term of the loan.
  • Representation of a private equity real estate investment fund formed by an affiliate of a national homebuilder and a global investment management firm for a $172 million acquisition and land development loan to a national development company. The loan financed the acquisition of a 245-acre land assemblage and provided funds to complete all necessary site work and lot improvements for the project, an 884-lot residential development in Loudoun County, Virginia. The lots were under contract for sale to two national homebuilders upon completion of improvement of the lots on a rolling takedown schedule. The representation included assisting in the structuring of the transaction and then drafting and negotiating all relevant loan documents. These included a highly structured completion guaranty and subordination agreements between our client and each of the national-homebuilder purchasers of the lots as well as an intercreditor agreement with the sellers who provided seller financing secured by a portion of the project.
  • Represented a national finance company in connection with the origination of a $92.1 million construction loan for a "build to rent" single family rental project in Colorado. The transaction involved a pari passu funding structure and a nuanced joint venture arrangement among the borrower's sponsorship.
