Steven M. Miller focuses on counseling clients within financial services, with a particular emphasis on secured and asset-based lending, structured finance, health care lending, as well as syndicated credit facilities. His experience includes representing banks, commercial finance companies, second-lien lenders, and hedge funds. Steve also has significant experience in representing corporate clients in sophisticated commercial financing transactions.

Lender transactions

  • Represented large regional bank as administrative agent in a $15 million senior secured asset based revolving credit and term loan facility to pharmaceutical company.
  • Represented senior lender in a $6 million senior secured acquisition financing for the sponsor, a private equity and debt investment firm, in their acquisition of an exhibit management company.
  • Provided $4 million senior secured working capital facility to support the private equity acquisition of a national distributor of agricultural (produce) products.
  • Represented a large regional bank in $11.25 million credit facility to a roof products manufacturing company to finance its strategic acquisition of a vinyl-metal laminate manufacturing company.
