Emily Friedman is a Court of Chancery litigator. Her practice focuses on Delaware General Corporation Law, the governance of Delaware business entities, and complex commercial litigation disputes. Emily has experience crafting and implementing case strategies, drafting dispositive briefs and motions, conducting legal research, and managing complex discovery and eDiscovery processes.

Prior to joining Ballard Spahr, she worked at a premier Delaware law firm where she drafted dispositive motions and briefs related to breaches of fiduciary duties, special litigation committees, appraisal actions, books and records disputes, breaches of contract, and other corporate issues

Representative Experience 

Representative Matters

  • Assisted in the successful defense of Avantor in trial court and through an appeal concerning a tortious interference claim brought by a former employee who argued that Avantor had improperly interfered with an employment opportunity by seeking to enforce its noncompete.
  • Secured advancement rights for a former officer and director of a Delaware corporation in the Court of Chancery. A magistrate awarded advancement because of a broad advancement provision in an indemnification agreement. The decision was affirmed by Vice Chancellor Laster.
  • Assisted in the successful defense of Bolt, Inc., against various investors seeking to prevent a round of financing from going forward by deploying corporate governance measures that forced the plaintiffs to dismiss their claims as moot.

Emily represents the Delaware Human and Civil Rights Commission in litigation in the Superior Court of Delaware regarding violations of the Fair Housing Act.
