David L. Zive is a transactional finance attorney with over three decades of experience in real estate and commercial finance.
David focuses on commercial lending with an emphasis on loan originations, loan restructurings and distressed debt transactions, as well as creditors’ rights and enforcement matters. He represents creditors and borrowers at all stages of the credit life cycle of commercial loans, including construction loans, bridge loans, and permanent financings. He also counsels lenders, servicers and investors in connection with dispositions and acquisitions of distressed commercial loans. He possesses significant knowledge of structured finance, debt restructuring, asset management, and mergers and acquisitions.
Experience
For ten years, as senior counsel with one of the nation’s largest diversified financial service organizations, David provided strategic business and legal advice to corporate, commercial, and real estate banking business partners in all aspects of commercial loan workouts, reorganizations, modifications, settlements, enforcements, and bankruptcies, including matter intake and triage, risk identification and management, action plan development and implementation, and documentation. He also provided strategic business and legal advice to capital markets business partners for the marketing and sale of over $3 billion in distressed and non-distressed commercial debt, advising on all aspects of commercial loan sale transactions.
As Vice President and Director of Legal of a diversified real estate investment and asset management firm, David managed the legal affairs of a $150 million distressed commercial loan and real estate portfolio, including due diligence, underwriting, acquisitions and dispositions, loan settlements, modifications and workouts, and enforcement, including receiverships and foreclosures. He also managed the legal affairs of $1 billion commercial mortgage loan portfolio for a publicly traded REIT.
