John Eagan brings clarity and precision to complex taxation matters for clients—whether based in the United States or abroad—in a wide array of industries, including communications, fashion and apparel, health care, technology, and insurance. He has handled more than 250 transactions over the course of his career.

John provides business tax counseling and helps clients with business entity transactional work, including mergers, acquisitions, structuring and restructuring, and reorganizations, as well as advising emerging companies on start-up and venture capital matters. He has worked with international clients on business formation and tax structuring for investment in the United States. Those matters have involved transfer pricing, branch profits, repatriation and treaty issues, outbound structuring (including controlled foreign corporation issues), and S corporation, partnership, and limited liability company taxation.

  • Represented Covetrus, Inc. (NASDAQ:CVET), a worldwide leader in animal health services and technology, in connection with its investment in Veterinary Study Groups, Inc., a leading provider of peer-to-peer learning experiences for veterinary professionals
  • Represented a regional health insurer in its joint venture with two major hospital systems to form a Medicare Advantage insurance company
  • Represented a public distributor of dental and healthcare products in the creation of a new entity with a national dental supplies provider in order to better serve state dental association members with an online-only option for purchasing dental supplies
