Kimberly W. Klayman is the Practice Leader of the Emerging Companies and Venture Capital Group. Kimberly has broad experience representing privately held emerging companies, as well as venture capital, private equity funds, family offices and corporate venture groups that invest in high growth companies. She works with companies through the entire corporate life cycle, including pre-formation and general corporate counseling, venture capital financings, and mergers and acquisitions. Kimberly also counsels investors and platform companies in strategic acquisitions of high growth companies.

Representative Matters
- Represented RTZN Brands in the sale of Series A Preferred Units to a venture capital investor, a complex two-part tender offer involving a secondary component comprising a tender offer post-closing, and an additional $13 million debt refinancing from JP Morgan.
- Advised Experic in its $5 million convertible note offering that ran from October 2025 through December 2025, and a subsequent $3 million convertible note offering that ran from April 2026 through May 2026.
- Advised Laird Technologies, a subsidiary of DuPont de Nemours, in its $1 million cash investment in exchange for Series A-4 Preferred Stock in Arieca, Inc., a leader in advanced thermal interface materials for the cooling of high-performance semiconductor chips.
