Richard is extensively involved in general corporate and corporate governance issues, including the representation of directors of public companies and independent committees of boards of directors.

Experience 

Representative Matters

  • Represented a client that purchased the interest of a financial services company in a joint venture, thereby acquiring 100% of the business of the joint venture, and immediately thereafter sold the entire business previously conducted by the joint venture to a third party buyer.
  • Represented an importer, exporter, processor and distributor of specialty agricultural products in a joint venture with a multinational food company. The transaction consisted of about 25 different agreements, including the Contribution Agreement, LLC Agreement for the joint venture, services agreements, and other agreements.
