Ballard Spahr Represents RESPEC in Acquisition of PDC Engineers

Ballard Spahr represented consulting company RESPEC in its recent acquisition of PDC Engineers.

The combined entities will continue to do business as a 100 percent employee-owned company. Together, they have more than 110 years of combined industry experience and revenues of $80 million. The organization will operate from 20 offices in 14 states and two Canadian provinces and employ more than 450 technical professionals.

“Forging a union between two employee-owned companies such that the whole is greater than the sum of the parts is a transaction that takes experience and a breadth of knowledge to pull off,” said Sioux Falls Office Managing Partner Amy L. Arndt, who led the Ballard Spahr team. “I’m proud that we, as a firm, could work across our offices and use our deep bench strength to get the right team together.”

Business and Transactions Partners Robert J. Hartman and Joshua T. Natzel in Minneapolis handled the employee stock ownership aspect of the transaction. Philadelphia Tax Partner Jonathan R. Flora served as tax counsel and New Jersey Of Counsel Emily J. Daher worked on the employment portions of the deal. Business and Transactions Associates Kelly L. Herrmann in Sioux Falls and Christian R. Barnes, Joshua A. Bobich, Neal K. Rasmussen in Minneapolis assisted Arndt with the merger & acquisition elements.
