Fred Williams is a public finance and tax lawyer with more than 30 years of experience. He has counseled numerous public and private sector clients on the federal tax aspects of municipal bond transactions, and has advised on the full range of issues in public finance transactions in Arizona and other states around the country.

Fred’s experience with complex business transactions includes serving as underwriter’s counsel, purchaser’s counsel, bond counsel, and related roles on bond financings for government agencies, financial institutions, investors, and developers. His experience involves a variety of project types, including affordable housing, solid waste facilities, and particular experience negotiating and documenting financial incentives for energy projects. His work has encompassed negotiating and closing transactions involving tax-exempt private activity bonds, New Markets Tax Credits, Low Income Housing Tax Credits, energy credits, opportunity zones, and tax increment financing.

  • Advised on various types of bond financings for a range of projects, including affordable housing, qualified 501(c)(3) bonds, and solid waste facilities
  • Negotiated and documented financial incentives for energy projects
  • Served as lead counsel on creating a major research nonprofit’s corporate structure to position the nonprofit to conduct for-profit operations and enter into joint ventures through for-profit subsidiaries
  • Represented numerous taxpayers, including tax-exempt bond issuers, in IRS audits and controversies

Pro Bono Experience

Fred works with a consortium of school districts on Indian lands to structure financing solutions for livable teacher housing, which is sorely lacking in almost all rural school districts on Indian lands in Arizona.
