Barbara Rummel serves as co-leader of the firm's Mergers and Acquisitions practice group and serves on the firm's Senior Leadership Team and Elected Board. She has completed numerous M&A transactions involving public and privately held businesses, with deals ranging in size from under $10 million to more than $1 billion. Her experience covers a range of industries, with a particular emphasis on the life sciences, including medical device, pharmaceutical, and biotechnology companies. She has recently completed acquisition transactions in the water and safety solutions, communications technology, hospitality and financial services industries.

She also serves as outside general counsel to several companies, working directly with business leaders or supplementing in-house legal capabilities to meet a variety of transactional needs. In these roles, she negotiates key governance, joint venture, licensing, manufacturing, distribution and transition services agreements for clients of all sizes, including domestic and international arrangements.

Represented CDMO client in negotiation of key customer manufacturing contract and financing arrangement, including a sale and leaseback arrangement
Represented Upsher-Smith Laboratories in the sale of assets of two branded pharmaceutical products
Represented an innovative labeling solutions manufacturer in company sale to private equity-backed packaging producer
Negotiated alliance agreement and license agreement between U.S. and U.K. firms for providing global real estate capital markets services

Led team in representing a publicly-traded client in a series of strategic transformative transactions, including an acquisition by merger, change of corporate name and trading symbol on Nasdaq, a 1-for-4 reverse stock split, a PIPE offering of Series A preferred stock and warrants to institutional investors, the issuance of a special pre-closing cash dividend of proceeds from the sale of its key legacy operating business, and the issuance to legacy shareholders of non-transferable contingent value rights (CVRs) that will entitle them to receive future distribution proceeds from the sale of company pre-merger assets
Represented a public company in the communications infrastructure industry with disposition of its key business line as part of a transformative strategy plan
Managed an engagement for a major U.S. fashion brand for contract review of commercial, marketing, licensing, and e-commerce agreements, including contracts with factories and suppliers outside of the United States
Represented manufacturer of medical equipment in sale to private equity purchaser
Represented private equity purchaser of pharmaceutical royalty stream from innovative medicine for rare disease
Represented a global leader in water, shelter, and safety solutions in the acquisition of safety and protection material technology and negotiation of a long-term manufacturing agreement
Represented the owners of a long-standing improvisational theater in their sale to a non-profit theater group focused on sustaining the arts in Minneapolis
Represented leader in water purification technology in acquisition of innovative water solution technology
Represented Greystone in acquisition of special loan servicing portfolio of C-III Asset Management
Led M&A team in acquisition of general partner of a publicly traded partnership that provides financing for multifamily residential properties
Represented Upsher-Smith Laboratories in the acquisition of assets of two branded pharmaceutical products for the treatment of migraines
Led M&A transaction for client in sale of a late-stage anti-epilepsy drug development program to a global biopharmaceutical company for an up-front cash payment of $150 million and contingent payments of up to $220 million based on certain regulatory approval and sales-based milestones
Represented Upsher-Smith Laboratories in the sale of its generic pharmaceuticals business to Sawai America, Inc. for $1.1 billion
Represented FINNEGANS Brew Co. and FINNovation Lab LLC in structuring and negotiating the development of the FINNEGANS House project in Downtown East Minneapolis, which includes a brewery, taproom, and hotel as well as a social entrepreneurship venture and workspace
Served as local counsel to consumer goods private equity firm in financing for acquisition of maker of wearable infant blankets
Provided local counsel to buyer in $178 million acquisition of publicly held transportation software company
Represented telehealth service provider in $200 million sale to a major medical device company
Represented publicly held medical device manufacturer in sale of product line to health and fitness company
