Erin Kadowaki is a commercial real estate and finance transactional associate in the firm’s Finance Department. Erin has significant experience in real estate finance matters, representing clients including alternative lenders, insurance companies, and regional banks in a variety of financing transactions secured by commercial real estate and mortgage notes. Erin also works with investment adviser clients to form private funds, prepare Form D filings, and determine applicable registration requirements.
Prior to joining Ballard Spahr, Erin worked as a compliance consultant, assisting registered investment advisers with regulatory compliance issues including SEC/state registration, drafting of disclosure documents, compliance program adoption and implementation, marketing material review, and annual compliance testing.

Representative Matters
- Represented a national finance company in its balance sheet and CMBS bridge lending program, including the origination of multifamily and retail mortgage loans secured by properties throughout the U.S., including structuring for future advances and capital improvements programs
- Represented a major life insurance company in connection with a multi-million financing of a portfolio of industrial centers in Georgia and Texas
- Represented an EB-5 lender in originating construction loans for industrial developments in Texas and renovations of a hotel in Hawaii

Pro Bono Experience
Erin’s pro bono work has focused on financing and general corporate matters, including assisting a community health center in New York with obtaining construction financing for a new patient clinic and headquarters, advising a nonprofit booster club in California on its bylaws, and participating in small business clinics advising clients on formation matters.
