Fred Wolf III concentrates his practice in representing public and private institutions, as well as individuals, involved in a wide variety of real estate transactions, including structuring, negotiating, documenting, and closing debt and equity financings. He has extensive experience counseling the purchasers and sellers of mortgage-related assets, the issuers and purchasers of rated and unrated debt obligations secured by real estate, and institutional investors in other capital market transactions involving single-property and multistate, multiproperty real estate financings. Fred has documented, negotiated, and closed several hundred net lease transactions involving more than 50 different tenants.

Before joining Ballard Spahr, Fred served for two years as an assistant attorney general and counsel to the Maryland Department of Economic and Community Development.

Representative Matters

  • Represented a financial adviser in arranging financing for the construction and long-term operation of a 1.5 million-square-foot manufacturing and research facility, totaling $687 million
  • Represented a major REIT in the development and sale-leaseback financing for a 600-acre intermodal railroad facility in the Midwest involving real estate and equipment financing, and the sale of the debt in a private placement
  • Represented an institutional investor in the purchase and subsequent resale of a portfolio of 35 properties located in nine states net-leased to various retail tenants
  • Represented an institutional investor in the purchase and sale leaseback financing of a 970,000-square-foot corporate headquarters of a Fortune 50 company involving conventional mortgage and mezzanine financing, including selling the mezzanine debt in a private placement
  • Represented an institutional investor in providing construction and permanent financing for the sale leaseback of a to-be-constructed corporate headquarters and the sale of the debt in a private placement
  • Represented an institutional investor in providing financing, including mezzanine financing, for the sale leaseback of the 778,000-square-foot campus headquarters of a Fortune 100 company
