Matt Vantusko assists clients on complex business transactions and projects, with a particular emphasis on energy industry transactions, including project finance, development, investments, and acquisitions.

Prior to becoming an attorney, Matt worked for Nevada-based utilities assisting with renewable project acquisition; negotiating and amending WSPP, NAESB, and ISDA agreements; and managing renewable energy, REC, qualifying facility, and gas transport contracts.

Representative Matters

  • Representation of an independent investment manager in its acquisition of distributed solar PV portfolio with a nameplate capacity of 115 MWAC, comprising 136 projects across 12 states, including California, New York, New Jersey, Maryland, and Massachusetts
  • Representation of developers, investors, and lenders in the financing and development of solar projects located throughout the United States, including utility scale, distributed generation, and community solar portfolios
  • Representation of private-equity clients acquiring both project-level and strategic energy and technology assets
  • Representation of an underwriter in an at-the-market registered offering of up to $100 million in common stock for a regulated utility
  • Representation of various corporate clients in delivering corporate opinion letters related to financing transactions
  • Representation of regulated utilities in establishing procurement and construction agreements
