Elizabeth A. Sloan is a partner in the Litigation Department and an experienced Chancery Court litigator. Her practice involves advising clients on all aspects of Delaware General Corporation Law, and the governance of Delaware business entities. She also regularly litigates issues related to breach of fiduciary duty claims, shareholder and corporate governance disputes, valuation and appraisal law, and other corporate and commercial litigation issues. Liz's clients include corporations, directors, officers, members, partners, investors and stockholders. While her practice is primarily focused in the Chancery Court, she also represents clients in other state and federal courts. On several occasions, she has argued important issues before the Supreme Court of Delaware.
Liz has experience directing all phases of litigation, including the taking and defending of scores of depositions of senior executives and directors of Fortune 100 companies, as well as experts and managers of multi-billion-dollar hedge funds; handling e-discovery matters; and conducting direct and cross examination of witnesses.

Representative Matters
- Represented Twitter in its successful enforcement of Elon Musk’s obligation to complete his acquisition of the company for $54.20 a share, an aggregate price of $44 billion. After signing a merger agreement, Mr. Musk reneged, raising various explanations for his refusal to close. Twitter brought an action for specific performance in Delaware’s Chancery Court. Working with Twitter’s lead counsel, Ballard Spahr’s team pursued discovery against more than 100 third-party witnesses, including Mr. Musk’s equity investors and attorneys. Shortly before trial, Mr. Musk announced he would go forward with the deal and obtained a stay of the litigation. On October 27, 2022, Mr. Musk closed the acquisition in accordance with the terms of merger agreement.
- Represented Walgreens in the Delaware Superior Court litigation in which the Delaware Attorney General has charged complicity in the illegal sale of opioids
- Represented several institutional investors and private equity funds, as co-counsel to the petitioners in In re Starz Appraisal, in obtaining a settlement in the largest appraisal case in the Delaware Court of Chancery
