Nathan E. Seiler is the Office Managing Partner of Ballard Spahr's Boulder office, a Co-Practice Leader of the Emerging Growth and Venture Capital Group, and a member of the firm's Expanded Board. Nathan advises high-growth companies on corporate and securities transactions, including initial formation, venture capital and private equity financings, mergers and acquisitions, public and private securities offerings, securities law disclosure and compliance, and general corporate counseling. He works with clients in a variety of industries, including software, biotechnology, medical device, information technology, telecommunications, natural and organic products, clean technologies, and renewable energy.
Nathan also represents acquirers and targets in a variety of public, public-private, and private-private business combination transactions as well as issuers in public and private securities offerings. In addition, he represents venture capital firms in various corporate and securities transactional matters.
Nathan helps his clients’ management and boards of directors shape and execute their business strategies. Drawing on his extensive experience, he provides counsel on legal issues ranging from day-to-day corporate and regulatory matters to corporate governance and other strategic initiatives.

- Represented public and private companies in more than 75 M&A transactions ranging in size from less than $10 million to more than $1 billion, including mergers, tender offers, exchange offers and stock and asset sales
- Represented emerging growth companies and venture capital and private equity investors in more than 200 financing transactions ranging in size from seed rounds of less than $1 million to late stage financings exceeding $100 million
- Represented issuers and selling stockholders in public offerings totaling more than $500 million
- Represent public companies in SEC compliance and reporting obligations
