Barbara Rummel is a member of Ballard Spahr's Elected Board. For more than 25 years, she has counseled boards of directors, executive officers, and owners of public and privately held businesses in making critical business decisions involving strategic objectives, corporate finance, mergers and acquisitions, governance, initial public offerings, and securities issues.

Barb has completed numerous M&A transactions involving public and privately held businesses, with deals ranging in size from under $10 million to more than $1 billion. Her experience covers a range of industries, with a particular emphasis on the life sciences, including medical device, pharmaceutical, and biotechnology companies.

Barb's community involvement includes assisting FINNEGANS for more than a decade to advance its social enterprise, including the recent development and financing to construct the FINNEGANS House project in Downtown East Minneapolis, which includes a brewery, taproom, and hotel as well as a social entrepreneurship venture and workspace designed to generate a positive impact on local communities.

Representative Matters

  • Led M&A transaction for client in sale of a late-stage anti-epilepsy drug development program to a global biopharmaceutical company for an up-front cash payment of $150 million and contingent payments of up to $220 million based on certain regulatory approval and sales-based milestones.
  • Represented Upsher-Smith Laboratories in the sale of its generic pharmaceuticals business to Sawai America, Inc. for $1.1 billion
  • Represented FINNEGANS Brew Co. and FINNovation Lab LLC in structuring and negotiating the development of the FINNEGANS House project in Downtown East Minneapolis, which includes a brewery, taproom and hotel as well as a social entrepreneurship venture and workspace
  • Advised early-stage pharmacogenetic testing company with seed investment and collaboration agreements with strategic investors
  • Served as local counsel to consumer goods private equity firm in financing for acquisition of maker of wearable infant blankets
  • Advised early stage medical device company in recapitalization and funding from strategic partners for first-in-human clinical study of wound closure device
  • Counseled pharmaceutical company in divestiture of five consumer product lines to focus on strategic objectives
  • Provided local counsel to buyer in $178 million acquisition of publicly-held transportation software company
  • Represented telehealth service provider in $200 million sale to a major medical device company
  • Negotiated strategic collaboration to complete development, seek regulatory clearance, and market an innovative patch to control severe bleeding in surgical applications
  • Counseled pharmaceutical company in multiple strategic acquisitions, licensing transactions, and divestitures
  • Represented publicly-held medical device manufacturer in sale of product line to health and fitness company
  • Local counsel for buyer (a subsidiary of a global healthcare company) in $360 million tender offer of publicly-held medical device company
  • Advised publicly-held medical device manufacturer in exclusive license/option to purchase competitive product line
  • Counseled independent grocer in acquisition of seven store locations from national grocery chain
  • Represented independent insurance agency in sale to industry leader building a national platform
  • Advised multiple portfolio companies in sales by private equity owners to strategic buyers
  • Counsel to publicly held medical device manufacturer in $100 million tender offer sale to industrial technology company
  • Represented medical device developer in $260 million sale to world leading medical technology company
  • Represented biomedical manufacturer in license of technology platform from major US research institution
  • Advised pharmaceutical company on equity investment in connection with an intellectual property licensing transaction with a UK-based development company
  • Assisted private entity with $4 million private placement of debt
  • Sale of UK research facility and early-stage drug development programs to UK buyer
  • Sale of FDA-ready epilepsy drug development program to UCB Biopharma
