Ronald Poelman has more than 35 years of experience advising businesses on corporate and securities laws and business matters. His practice has emphasized helping startup companies organize and finance, particularly in the technology sector. He also served for over 20 years as a director of a public company, and he regularly advises clients regarding corporate governance issues.

Ron has represented numerous companies in their organization and private stock offerings, including angel, venture capital, and private equity financings. He also has represented public companies in public offerings, SEC reporting, and corporate governance compliance. For both private and public companies, he has handled mergers and acquisitions, as well as agreements for technology licensing and executive employment. In his executive compensation practice, Ron has advised clients and implemented various compensation plans and agreements, particularly those including all forms of equity compensation.

Ron has particular experience with companies in the Silicon Valley in California and Silicon Slopes of Utah, both thriving centers for startup, technology-driven companies. His clients include high-tech, high-growth companies, whom he often serves in the role of outside general counsel, advising on a range of matters from corporate governance to complex equity financings and technology licensing agreements.

Ron served for 22 years as a member of the Board of Directors of USANA Health Sciences, a public network marketing company that manufactures and sells nutritional products in over 20 countries, where he helped grow revenues to $1 billion. He served at various times as Chairman of both the Audit Committee and the Compensation Committee of the Board of Directors, as well as Lead Independent Director.

Ron is a founder, a former President, and current Chairman of the Board of the Utah Chapter of the National Association of Corporate Directors (NACD), a nonprofit organization of more than 20,000 corporate board members nationwide, which focuses on educating board members on best practices.

Ron is a regular speaker regarding emerging companies, equity financings, and corporate governance issues. He is also involved as a sponsor, mentor, and adviser to the entrepreneurship programs and business plan competitions at both the University of Utah and Brigham Young University.
