Josh Natzel provides practical advice on employee benefit and executive compensation matters, working with his clients in the design, creation, and administration of ESOPs and other retirement plans, health and welfare benefit plans, and nonqualified deferred compensation arrangements. Josh uses skills he developed as a former teacher to help clients across industries better understand and navigate the complexities of ERISA, Internal Revenue Code, Affordable Care Act, COBRA, HIPAA, and other related employee benefit laws.

Representative Matters

  • Represented ESOP trustee in the acquisition of company shares by the ESOP
  • Represented ESOP trustee in the sale of company shares to a third party
  • Represented ESOP trustee in the termination of an ESOP
  • Represented private equity fund in employee benefit matters related to the acquisition and sale of portfolio companies
  • Advised a private company on options for providing long-term incentives to key employees and drafted a phantom equity plan and change in control bonuses
  • Drafted an employee stock purchase plan for a public company
  • Corrected Code Section 409A failures in nonqualified deferred compensation arrangements for a medical device company
  • Educated 401(k) plan trustees on fiduciary responsibilities
  • Represented a manufacturing company in a 401(k) correction through the DOL's Voluntary Fiduciary Correction Program
  • Negotiated 401(k) recordkeeping and administrative services agreements for a financial institution
  • Advised and developed strategies for a company with a large number of variable hour employees to comply with the Affordable Care Act
  • Designed and drafted a health and welfare benefit wrap plan for a public company with multiple entities, locations, and plans
  • Guided an emerging company with initial employee benefit strategies
