Jonathan Lawler is an associate in the firm’s Business and Transactions Department, focusing his practice on mergers and acquisitions matters. He works with both publicly traded and privately held clients (including family offices and private equity buyers) in mergers, acquisitions, and other business combinations. Jonathan has served as counsel for numerous financing arrangements, including leveraged buyouts, credit revolvers, asset securitization, sale leaseback arrangements, and equipment lease capitalizations.
He has extensive experience drafting and negotiating documents for corporate transactions and general corporate law; as well as drafting SEC filings for publicly traded clients, including reports on Forms 4, 8-K, 10-Q, 10-K, 13D, 13G, and annual proxy statements. Jonathan is also experienced in representing early stage and startup companies in managing and overseeing pre-seed capital investments, follow-on investments, and intellectual property contract negotiation matters.
