Shonterra M. Jordan is a corporate and transactional attorney with a diverse practice who works closely with her clients to aid them in achieving their immediate and long-term business objectives. Shonterra has experience counseling both publicly traded and privately held companies on mergers, acquisitions, divestitures, spin-offs, complex commercial contracts negotiations, and general corporate governance matters.

Shonterra has experience representing both buyers and sellers in acquisition transactions. Through a secondment in the mergers and acquisitions legal department at E.I. du Pont de Nemours and Company, Shonterra has experience with complex transaction issues, particularly related to the separation and spin off of businesses. Shonterra also has extensive experience with drafting and negotiating stock and asset purchase agreements, operating agreements, stockholders agreements, subscription agreements, confidentiality agreements, procurement agreements, and licenses, including for emerging growth and health care companies.

Shonterra also maintains a robust tax-exempt organizations practice. Shonterra advises tax-exempt organizations on various matters including formation, securing federal income tax exemption and state sales tax exemption, and corporate governance. Shonterra serves as the Contract and Compliance Manager for The Board of Pensions of the Presbyterian Church (U.S.A.), the entity administering the pension, medical, disability, and death benefits plans for the ministers and lay employees of the Presbyterian Church.

Before starting at Ballard Spahr, Shonterra served as a judicial law clerk for the Chief Judge of the U.S. District Court for the Eastern District of Pennsylvania.

Representative Matters

  • Represented E. I. du Pont de Nemours and Company in the sale of its global food safety diagnostics business to Hygiena, a Warburg Pincus portfolio company
  • Represented DowDuPont in the separation of its materials science, agriculture and specialty products businesses through the $39 billion spin-off of Dow, Inc. and $19 billion spin-off of Corteva, Inc.
  • Represented Ticketleap, Inc., an online ticket sales company, in its sale for $13 million of outstanding shares of stock and warrants to Providence Equity Group.
  • Represented Sharp Packaging Services (Sharp), a U.S. subsidiary of UDG Healthcare, in the acquisition of a pharmaceutical packaging business from Daiichi Sankyo, Inc. (DSI) and the negotiation of a commercial arrangement with DSI pursuant to which Sharp will provide packaging, clinical, and analytical services to DSI for several of its U.S.-branded products
  • Represented an audio visual company and video production in the sale of their assets to a general service contractor
