Alice Huang is a transactional attorney with a diverse practice focusing on commercial finance, mergers and acquisitions, and health care.

Alice has experience representing both financial institutions and borrowers in a variety of commercial finance transactions, including secured and unsecured credit facilities, term loans, asset-based loans, acquisition financing, and syndicated credit facilities.

Alice counsels publicly traded and privately held companies on mergers, acquisitions, divestitures, spin-offs, restructurings, corporate governance, and complex commercial contract negotiations. She has represented clients in both buy-side and sell-side acquisition transactions.

Alice also advises clients in the health care sector on regulatory matters, including health facility licensing and certification, Medicare and Medicaid laws and regulations, HIPAA compliance, the Anti-Kickback Statute, and the STARK Law.

Representative Matters

  • Represented the agent in a $500 million syndicated unsecured revolving credit facility to multinational manufacturer and its Japanese subsidiary
  • Represented DowDuPont in the separation of its materials science, agriculture, and specialty products businesses through the $39 billion spin-off of Dow, Inc., and $19 billion spin-off of Corteva, Inc.
  • Represented a global architecture, engineering, project controls, construction management, consulting company in an acquisition-financing transaction
  • Represented a bank holding company and financial services corporation in the closing of a revolving credit facility
  • Represented a bank holding company and financial services corporation as bond purchasers under a second supplemental trust indenture
  • Represented a multinational supplier of aerospace and defense systems, components, and structures in the sale of its Machining business
  • Represented a multinational supplier of aerospace and defense systems, components, and structures in the sale of its Fabrication business
  • Represented lender in connection with $15 million line of credit to pre-settlement litigation funder
  • Represented agent in $160 million syndicated senior secured revolving credit facility to national service provider
  • Represented an asset-based lender in $65 million secured ABL facility as part of $355 million total financing package to enable $420 million private equity company's acquisition of national provider of engineering, design and services to leading cable providers along with two tuck-in acquisitions

Pro Bono Experience

Alice maintains an active pro bono practice. She counsels and represents startup companies and nonprofit organizations on corporate governance and general contract matters. Alice also has represented a number of clients seeking asylum in the United States or applying for adjustment of status. Alice is a volunteer attorney with the Philadelphia Family Court Help Center.
