Zach Gorman is a corporate lawyer with a diverse transactional practice. Zach represents companies in merger and acquisition transactions, public and private capital-raising transactions, and negotiating and documenting a variety of commercial contracts. He also counsels clients regarding securities matters, including corporate governance, disclosure, and compliance matters. In addition, Zach routinely assists and advises entrepreneurs and companies in forming, starting, and funding businesses. In such matters, Zach counsels clients with regards to entity formation and structuring, negotiating shareholder and operating agreements and capital raising.

  • Represented a medical device company in its acquisition of a privately-held medical device company that developed and commercialized a vascular closure device
  • Represented a medical device company in the acquisition of a catheter product line and related licenses as well as an exclusive option to purchase a new development-stage product line
  • Represented a medical device company in its disposition of a catheter reprocessing business
  • Represented a publicly traded master limited partnership in its disposition of a package of domestic pipeline and terminal assets to a private equity firm
  • Represented an online ticket sales company in its sale to a private equity firm
  • Represent a publicly-traded gaming company in Securities Exchange Act of 1934 reporting compliance and general corporate matters
  • Represent a publicly-traded theater operator in Securities Exchange Act of 1934 reporting compliance and general corporate matters
  • Represented an investor group in its acquisition of a sports video technology company and Series A capital raise
  • Served as underwriter's counsel to a leading investment bank in connection with the issuance of tax exempt bonds for facility that will convert waste straw to non-wood based pulp
  • Served as counsel to two leading investment banks on a project financing for the development of a municipal solid waste to biofuel plant
  • Served as underwriter's counsel for a project that uses woody biomass as its feedstock to produce jet fuel in a multi-step financing that included tax exempt, taxable, and subordinated debt
