For two decades, Raymond Faricy has partnered closely with privately held businesses and helped them achieve their strategic objectives.

Ray has handled virtually all aspects of business, including: mergers and acquisitions; corporate finance and securities matters; loan transactions; corporate governance issues; leasing, buying, and selling strategic assets; contract negotiation; manufacturing; distribution; and licensing. Ray has developed processes that streamline common pursuits, such as raising capital for startup companies and strategic transactions, so he can represent clients efficiently.

Although he assists businesses in numerous industries, Ray has particular knowledge of and experience with wind power and solar power projects, working with developers and owners in all phases of development, including power-purchase agreements, interconnection, land rights, financing, and M&A transactions.

Ray has extensive experience with "virtual" power purchase agreements, often referred to as corporate PPAs, hedges, or contracts for differences. He works with both project owners and corporate off-takers, including educational institutions, on all aspects of these innovative arrangements.

Representative Matters

  • Assisted various renewable energy project owners and off-takers in the negotiation of power purchase agreements, including many corporate PPAs with off-takers such as Walmart, Target, Ingersoll-Rand, and T-Mobile
  • Assisted various wind and solar energy clients in project sales in recent years to NextEra, sPower, EDF, Pattern, Algonquin, Alterra, ACCIONA, Xcel, Westar, and others, for projects totaling in excess of 1,500 MWs
  • Assisted various wind and solar energy clients in project financing transactions, including sale-lease back transactions
  • Assisted various energy clients and contractors in negotiation of balance of plant/EPC contracts
  • Assisted solar energy clients on battery storage and solar facility projects
  • Counsel to provider of clinical trial patient recruitment services in its $87 million sale to private equity firm
  • Represented buyers and suppliers in wind turbine supply agreements and solar module supply agreements
