Carin M. Cutler


Carin M. Cutler is an experienced corporate securities attorney and represents companies and investors in a wide variety of corporate transactions, including equity and debt financings by venture capital, private equity, and strategic investors, mergers and acquisitions, recapitalizations, and general corporate matters. She serves as outside corporate counsel to emerging companies throughout their life cycle, from entity formation through acquisition or initial public offering.

Carin also represents public companies in equity offerings as well as on disclosure and reporting requirements, compliance with stock exchange rules, and corporate governance and securities matters. She works with public and private clients in a range of industries, including life sciences, medical device, software, and aviation.


Representative Matters

  • Represented companies and venture capital firms in more than 200 private equity and convertible debt financings, ranging from seed rounds of under $100,000 to late stage financings exceeding $100 million
  • Represented public companies in initial public offerings, secondary and follow-on offerings, convertible debt offerings, at-the-market offerings, and other capital market transactions valued at more than $1 billion
  • Regularly represents buy-side and sell-side clients in M&A transactions in a variety of industries, with transaction values ranging from $1 million to more than $200 million, totaling more than $2 billion
