Conrad Bower is a transactional attorney with a diverse corporate practice that includes mergers and acquisitions, complex commercial contract negotiations, corporate governance matters, and securities matters. Conrad focuses his practice on counseling public and private companies in merger, acquisition, and divestiture transactions in such industries as chemicals, health care, life sciences and technology, manufacturing, medical device, and transportation. Conrad also has significant experience drafting and negotiating complex commercial contracts, including master services agreements, distribution agreements, licensing agreements, and supplier agreements. Conrad also counsels senior executives and in-house counsel of domestic and multinational companies on matters of general corporate law, federal securities law compliance, and corporate governance.

Before entering law school, Conrad worked as an analyst for Bloomberg, L.P.

  • Represented a subsidiary of a Fortune 100 publicly traded company in the $70 million sale of its global operations management and safety consulting business
  • Represented a long-haul transportation and dedicated carriage services provider in the $50 million sale of its business to a private-equity purchaser
  • Represented a publicly traded master limited partnership providing midstream logistic solutions for liquid petroleum products in the $450 million sale of a package of domestic oil pipeline and terminal assets to a private-equity purchaser
  • Represented a private-equity backed healthcare company providing comprehensive in-home health risk assessment services in the $225 million sale of its business to a private-equity purchaser
  • Represented a Fortune 100 publicly traded company in the $234 million sale of its global food safety diagnostics business to a private-equity portfolio company
  • Represented a U.S. subsidiary of an international healthcare company in the $14 million acquisition of a pharmaceutical packaging business
  • Represented a leading provider of contract operations outsourcing and market access analytics software and services to the pharmaceutical industry in the sale of its business to a private-equity portfolio company
  • Represented a Fortune 50 publicly traded company in the negotiation of several high-profile commercial agreements with third-party service providers operating within client's new facility

Pro Bono Experience

Conrad maintains an active pro bono practice, counseling Philadelphia Youth Basketball, Inc., a 501(c)(3) nonprofit organization that leverages the sport of basketball to empower urban youth as students, athletes, and positive leaders, and the United States Women's National Ice Hockey Team and their respective boards of directors on matters of corporate governance, nonprofit law, and general corporate law.
