On July 10, 2013, the SEC adopted new rules that eliminate the current prohibition against general solicitation and advertising in certain Rule 506 and in Rule 144A securities offerings, and expand the bar on “bad actors” from participating in private securities offerings. In addition, the SEC issued proposed rules that would provide the SEC and the public with additional information where general solicitation and advertising are used in Rule 506 offerings.
