Peter W. Hennessey, an experienced corporate and securities attorney who represents public and private companies and venture capital firms in a range of capital markets transactions, has joined Ballard Spahr as of counsel, firm Chair Mark Stewart announced today. 

Mr. Hennessey handles initial public, follow-on, and secondary equity offerings, and investment-grade, high-yield, and convertible debt offerings. He has represented a number of public companies in corporate and securities matters, Sarbanes-Oxley compliance, exchange-listing standards, and Exchange Act reporting requirements. 

Mr. Hennessey also represents public and private companies in general corporate and securities law matters. He has served in a lead role as senior associate on several initial public offerings, working closely with management and investment banks to draft registration statements, prepare responses to Securities and Exchange Commission comments, and negotiate underwriting agreements.

At Ballard Spahr, Mr. Hennessey is a member of the Business and Finance Department and the Mergers and Acquisitions/Private Equity, Securities, and Life Sciences and Technology Groups. He joins the firm from Wilson Sonsini Goodrich & Rosati, where he was an associate in the Palo Alto, California, office.
