Jane Rose Siegfried is a transactional attorney with a broad-based practice, who collaborates with her clients to help them achieve their business, economic and personal goals. She represents clients in mergers and acquisitions, complex commercial contracts negotiations and general corporate governance matters. Jane is a co-chair of the Young Dealmakers Committee of the Association for Corporate Growth – Philadelphia. Prior to entering law school, Jane was a contracts negotiator on the energy trading desk of Mitsui Energy Risk Management, Ltd., an energy trading firm in New York City.

Jane has experience representing both buyers and sellers in acquisition transactions. Her experience includes negotiating, drafting, and editing stock and asset purchase agreements, operating agreements, members/stockholders agreements, subscription agreements, employment agreements, confidentiality agreements, letters of intent, and organizational documents.

Representative Matters

  • Represents a private equity client in acquisitions, dispositions, investments and general corporate matters
  • Represented an NYSE-listed REIT in a securities and asset sale, which resulted in the deconsolidation of a subsidiary and the subsequent management internalization of the subsidiary
  • Represented an NYSE-listed energy company in an equity offering with proceeds of approximately $600 million
  • Represented the seller of an organic foods business in a $775 million sale of its assets to an NYSE-listed foods company
  • Represented a private equity portfolio company on $120 million mixed stock and asset acquisition of nine regional subsidiaries of a publicly traded entity
  • Represented a private equity portfolio company in the insurance brokerage industry on various acquisitions ranging from $20 million to $50 million

Judicial Clerkship

After graduating from law school, Jane served in the chambers of the Honorable Susan L. Claypoole in the Civil Division of the New Jersey Superior Court in Burlington County, New Jersey.
