Joshua R. Brown handles a variety of matters related to real estate, tax, and private client services, including business, estate and tax planning. He has a particular interest in creating, reforming and decanting trusts to take advantage of South Dakota’s favorable trust laws, trust and estate administration, and business succession planning. In addition he assists clients in guardianships and conservatorships.
Joshua advises and represents clients on their mergers, acquisitions, and corporate governance matters. Joshua has experience drafting purchase agreements, ancillary agreements, resolutions and disclosure schedules, and performing due diligence in connection with mergers and acquisitions and financing transactions.
- Assisted individuals and trustees in modifying, reforming and decanting trusts using our favorable trust laws here in South Dakota, including implementing the use of directed trusts.
- Represented individuals in forming a comprehensive estate plan, including Wills, Trusts, Durable Power of Attorney, Health Care Power of Attorney, Living Wills, Transfer on Death Deeds, and Life Estates.
- Formation of corporations, limited liability companies, partnerships, and other like entities. Created shareholder agreements, buy-sell agreements, professional service agreements, employee stock purchase option plans, and other documents.
- Established long term trust for South Dakota farmers and business owners to insure future ownership of assets and to provide asset protection. In addition, I assisted numerous trustees in trust administration.
