Kelly M. Wrenn is the Strategic Planning Partner for the firm. His practice encompasses a wide range of transactional matters, with an emphasis on business finance transactions, real estate law, and commercial loan servicing.

Mr. Wrenn's clients include portfolio, agency, and conduit lenders and other financial institutions. Significant rating agency contacts have been developed in connection with his structured-finance practice, and he has been involved in the closing of real estate and business finance transactions throughout the United States. Mr. Wrenn has been involved in a number of high-profile business finance transactions in recent years.

Representative Matters

  • $200 million mezzanine financing for Rockefeller Center, New York
  • $100 million mezzanine financing for an office tower at 277 Park Avenue, New York
  • $25 million conduit (CMBS) loan secured by an office building in downtown Philadelphia; representation included resolving significant borrower structure issues, ensuring compliance with current rating agency requirements, and negotiating the complicated lockbox account agreement provisions
  • $153 million structured finance transaction secured by 16 senior housing facilities in 11 states; multiple loans were either securitized in a CMBS structure or purchased by Freddie Mac for ultimate securitization; loan structure required the review and approval of additional mezzanine financing and the drafting and approval of an intercreditor agreement
  • $45 million conduit financing (CMBS) for an office building in Hampton, Virginia
  • $88 million construction financing for mixed-use project at Ballston Metro Center, Arlington, Virginia
  • $83 million construction financing for continuing-care retirement community in Highlands Ranch, Colorado
  • $186 million commercial loan defeasance for Library Square office tower in Los Angeles
  • $52 million commercial loan defeasance for Buena Vista Hotel, Orlando
  • $130 million commercial loan defeasance for 56 retail sites located in 20 states
  • Structured finance transaction involving the air rights development and sale of the ground leasehold interests for Union Station, Washington, D.C.
  • $70 million acquisition and development loan for Georgetown Park retail center in Washington, D.C.
