Dan W. Egan is a partner in the Business and Finance Department and a member of the Commercial Real Estate Recovery, Communications, and Transactional Finance Groups. Mr. Egan's business and finance practice concentrates on commercial lending; special servicing of distressed loans; and real property, bank regulatory and communications transactions. His commercial lending practice focuses on real estate-secured financing transactions, with emphasis on construction and term loans. He also has experience in loan workouts, foreclosures, and loan re-structurings.
Mr. Egan has extensive experience in structuring, negotiating, and documenting a wide variety of transactions. He also has consumer lending experience with disclosure laws and consumer mortgages. His real estate practice includes the purchase and sale of commercial and residential properties.
Mr. Egan has participated in numerous bank regulatory transactions, including applications for de novo charters, branch purchase and sale transactions, change in control transactions, and securities offerings by state-chartered, insured depository institutions.
As a member of the Communications Group, Mr. Egan has drafted interconnection agreements, site-leases, optical fiber long-haul route, and metropolitan area network agreements. He regularly participates in rulemaking and legislative initiatives involving communications and other issues.

- Documented term loan transaction secured by office building on a ground lease in a university-sponsored research park
- Documented construction loan for a national bank client secured by a hotel property with a national franchisee as borrower
- Documented construction loan converting to term financing for commercial/retail center
- Documented acquisition and development loan for multi-phased residential subdivision project
- Enforced remedies under loan agreement following default by borrower, including foreclosure of real property collateral, and pursuit of guarantors for deficiency
- Assisted developer in acquiring mountain resort property for construction of luxury second homes
- Assisted in borrower representation for financing secured by timeshare receivables
- Assisted in development and drafting of legislation to create the Utah Fund of Funds Venture Capital Fund
- Negotiated terms of brokered deposit account agreements between depository institution client and brokerage firms
Pro Bono Experience
For a nonprofit corporation that provides support services to families dealing with childhood cancer, Mr. Egan updates its employee handbook, reviews and updates articles of incorporation and bylaws, and plans and holds local fundraising events.
