D. Renee Applegate is an associate in the Business and Finance Department and a member of the Employee Benefits and Executive Compensation Group and Investment Management Group. She advises private entity and nonprofit management clients on various areas of employee benefits law, including executive compensation arrangements, qualified retirement plans, and health and welfare plans.
Ms. Applegate's practice includes a concentration on executive compensation design and compliance issues. She regularly reviews such arrangements for compliance with securities and tax laws, including Section 409A and Section 457(f) of the Internal Revenue Code. In addition, she has experience negotiating and drafting employment agreements for executive clients. Ms. Applegate also advises clients on securities disclosure relating to executive compensation and beneficial ownership, including proxy statements, registration statements, Schedules 13D and 13G, and Section 16 reports.
