Bruce F. Johnson focuses his practice on real estate and commercial finance and investment transactions, and on the development and financing of energy generation and transmission projects.

Mr. Johnson counsels lenders and borrowers in a broad range of lending transactions, including the origination of balance sheet, CMBS, acquisition, construction, revolving, leasehold, and mezzanine loans; project finance; note sales; and loan participations and syndications. He has extensive experience representing special servicers and portfolio lenders in the workout of distressed assets. Mr. Johnson also counsels private equity funds in their investment in real estate and energy-related projects.

Mr. Johnson frequently represents developers, investors, and lenders in development, financing and M&A transactions involving energy generation and transmission projects, including solar, wind, biomass, geothermal, and other types of renewable energy facilities. He often employs his real estate experience to advise energy project participants in connection with site control issues, including ground leasing and property acquisition transactions, transmission and access easements, co-tenancy arrangements, title insurance issues and related aspects of site control in financing transactions.

Mr. Johnson is fluent in Spanish, which enables him to represent clients in cross-border transactions in Latin America. He counsels clients on project development and private equity investments in several countries, including Mexico, Panama, Argentina, and Colombia.

Representative Matters

  • Served as counsel to the developer of a 104 MW utility scale solar project in Utah in connection with real estate and development matters and with a $157 million project financing and tax equity investment
  • Served as counsel to a Fortune 500 solar developer with respect to state tax law issues in connection with a 6.4 MW commercial rooftop solar project
  • Served as counsel to an energy project developer in connection with its repricing, resizing and modification of a portfolio of project debt secured by solar, wind and natural gas fired energy generation projects, in preparation for contribution of the projects to a publicly traded YieldCo
  • Served as counsel to a regional bank in its participation in financing of a 674 MW natural gas-fired electric combined cycled power generation facility located in Massachusetts
  • Serves as counsel to national project finance lender in connection with its debt financing of utility scale solar and distributed generation portfolios
  • Served as counsel to an investor and wind turbine manufacturer in the investment in and development of a 220 MW wind farm in Panama 
  • Served as lender's counsel to a REIT in a $40 million loan secured by high-end condominium towers in Clark County, Nevada
  • Serves as counsel to an investment bank in originating CMBS financing secured by a variety of project types
  • Serves as counsel to the subsidiary of a public utility in connection with the due diligence review and acquisition of a number of utility scale solar projects in California, Utah, Idaho, North Carolina, Texas, Colorado, Minnesota, Vermont, Indiana and New York 
  • Served as real estate counsel to potential lenders and private placement purchasers in a $600 million financing for a 350 MW solar project located on Native American tribal land 
  • Served as real estate counsel to lenders and private placement purchasers in a $1.5 billion financing for an urban mixed-use development on the Las Vegas Strip 
  • Served as special servicer's counsel in a deed-in-lieu transaction and subsequent REO sale relating to a $120 million loan secured by a regional shopping mall 
  • Served as counsel to a private equity group in a $10 million investment in a Brazilian engineering firm
  • Served as counsel to a private equity firm in a $135 million investment in an oil field services provider 

Pro Bono Experience

Mr. Johnson's pro bono work has focused on the representation of various local and national tax-exempt organizations with respect to tax, real estate, and general corporate matters.
