Brian D. Doerner is chair of the Business and Finance Department and a member of the Mergers and Acquisitions/Private Equity, Life Sciences/Technology, Investment Management, Securities, P3/Infrastructure, and International Groups.

Mr. Doerner has extensive experience representing both public and private companies in mergers and acquisitions, restructurings, going-private transactions, cross-border transactions, and general corporate matters. In the area of securities law, Mr. Doerner has handled numerous private placements, venture capital transactions, initial public offerings, secondary offerings, follow-on offerings, shelf registrations, and 144A transactions. He also has been involved in numerous strategic alliances, licensing agreements, and co-promotion agreements for life sciences, technology, manufacturing, and other companies.

After receiving his M.B.A. and before attending law school, Mr. Doerner worked at IBM.

Representative Matters

  • Represented a communications equipment manufacturer in its sale for approximately $750 million
  • Represented a large financial services company in the sale of a subsidiary valued at almost $500 million
  • Represented a global pharmaceutical company in license and supply agreements valued at over $4 billion
  • Represented a NASDAQ company in the acquisition from a Dutch multinational of a division with operations in 12 countries
