  • We represented a large retailer of contact lenses in connection with the cash and stock-for-assets acquisition of a Singapore company and its Chinese affiliates (including a contact lens manufacturing facility and related intellectual property) and related financing with a large U.S. bank and the Development Bank of Singapore.

  • We represented a large U.S. resort developer in connection with structuring, negotiating, and documenting the multimillion-dollar acquisition of an Italian real estate venture and related debt financing transactions.

  • We represented an Australian natural resources company in its $25 million acquisition of assets out of bankruptcy in the Western United States.

Joint Ventures, Collaborative Agreements, and Strategic Alliances

  • We represented a major pharmaceutical company in a global development and collaboration agreement with a biotechnology company in the United Kingdom.

  • We represented a U.S. subsidiary of the world's largest mineral company in connection with an international joint development agreement related to multimillion-dollar technology.

  • We represented a large retailer of contact lenses in connection with a joint venture with a large Japanese optical chain, providing for the sale and marketing of contact lenses in Japan.

  • We represented a large U.S. telecommunications company in connection with obtaining a concession to offer long distance and Internet services from Mexican governmental authorities, negotiating and documenting an easement for and of the rights-of-way of the Mexican National Railroad Company, and multiple related joint ventures with international telecommunications companies.

  • We represented a large multinational telecommunications and multimedia company in connection with a Mexican joint venture.

  • We represented a hotel management company in a joint venture to develop and operate a hotel and resort in Riviera Maya, Mexico.

Transactional Finance

  • We represented issuers and guarantors in a $103 million securitized note indenture facility secured by six hotel properties in Acapulco, Cancún, Cabo San Lucas, Cozumel, and Ixtapa, Mexico.

  • We represented borrowers and guarantors in a $100 million-plus transaction involving the restructure of existing debt and the extension of new credit facilities destined for the construction of new phases of existing resort projects in Los Cabos and Mazatlán, Mexico, and secured by U.S. and Mexican consumer receivables.

  • We represented issuers and guarantors in connection with an $85 million note indenture facility secured by consumer receivables generated from the sale of vacation ownership interests in Canada and the United States.

  • We served as co-counsel to issuers in a $40 million note indenture facility secured by consumer receivables generated from the sale of vacation ownership interests with respect to a resort in Paradise Island, Bahamas.

  • We represented the lender in connection with a $27 million construction and working capital loan secured by a hotel property in St. Lucia.

  • We represented the borrower and guarantors in a $20 million inventory and receivables loan facility involving a luxury fractional resort project in Barbados.

Compliance and Investigations

  • We serve as international counsel to a large U.S. nutrition company, advising on the U.S. Foreign Corrupt Practices Act, U.S. Export Control Act, and various international treaties.

  • We represented a large manufacturer of specialty gases regarding the export of equipment and products to Taiwan and the structuring of manufacturing and supply arrangements with a Taiwanese company, including compliance with U.S. export control laws.

  • We represented the developer of Mexico City (Benito Juárez) International Airport in connection with a U.S. Foreign Corrupt Practices Act investigation and related proceedings.

  • We aided a manufacturing company in the investigation of internal controls and compliance issues in operations in Australia and China.

  • We regularly advise clients regarding compliance with European Union regulations governing privacy and with the U.S. Safe Harbor program.
