Ryan R. Warburton is a partner in the Public Finance Department and a member of the Energy and Project Finance, Housing, Transactional Finance, P3/Infrastructure, and Tax Credits Groups.

Mr. Warburton's practice focuses on municipal finance, with emphasis on tax-exempt private activity bonds, including housing, 501(c)(3), and manufacturing facilities. He has extensive experience with mortgage revenue bonds and multifamily residential rental bonds and has served as counsel in charter school financings, capital grant funding securitizations, and Low Income Housing Tax Credits financings. His experience includes financings with variable-rate debt, and various types of credit-enhancement and derivative products. Mr. Warburton has served as counsel to practically all sides and parties involved in public finance transactions and has represented these parties in numerous workouts and restructurings.

His practice also encompasses secondary-market securitization of municipal securities. He has represented sponsors, credit enhancers, and liquidity providers in these types of transactions representing billions of dollars of asset securitization.

  • Represented a state housing issuer as bond counsel in connection with five to seven $35,000,000 single-family housing bonds transactions completed annually
  • Represented a state housing issuer as bond counsel in connection with two to five multifamily residential rental bond transactions completed annually
  • Represented multiple underwriters as their counsel in connection with the issuance of single-family housing bonds and multifamily residential rental bonds nationwide
  • Represented a construction lender as its counsel in connection with the financing of numerous multifamily residential rental projects nationwide
  • Represented developers as their counsel in connection with the issuance of multifamily residential rental bonds and partnership agreement negotiation
  • Represented a tax credit investor as its counsel in connection with multiple workout and restructuring of multifamily residential rental project financings
  • Represented state and local bond issuers as bond counsel in connection with an average of five to ten charter school financings completed annually
  • Represented a credit enhancer and liquidity provider as its counsel in connection with two secondary-market securitization transactions aggregating over $4 billion of assets
  • Represented a securitization sponsor as its counsel in connection with structuring numerous single-asset trusts and pool trusts as part of secondary-market securitization transactions

Pro Bono Experience

Mr. Warburton represents alleged victims of domestic violence in protective order hearings before the court.

Community Activities

Mr. Warburton has volunteered his time as a scoutmaster and cubmaster in Boy Scouts of America. He has volunteered for the Future Business Leaders of America and is a past chair of his office's United Way campaign. He is active in his local church, where he has served in multiple leadership positions and provides volunteer service to his community.
