Garrett M. Tuttle is of counsel in the Business and Finance and Intellectual Property Departments, and a member of the Franchise and Distribution Group and the Trademark and Copyright Group. He focuses his practice on franchise and distribution, corporate transactions, and intellectual property, representing development-stage franchisors through to mature franchisors. Mr. Tuttle's experience includes advising on purchase and sale transactions; drafting and registering franchise disclosure documents, worldwide trademark registrations, and trademark and domain name disputes; and negotiating and drafting procurement contracts.
Mr. Tuttle has counseled franchisors in the sale of the entire franchise system, as well as companies and private equity funds in acquiring franchisors. He routinely handles asset sales transferring franchisor-owned businesses to franchisees and acquisition of franchised businesses by franchisors. Mr. Tuttle has drafted more than 50 franchise disclosure documents and related agreements and handled the development of international expansion programs for more than 10 franchise companies, mainly in Canada and Mexico. He has counseled clients regarding trademark selection and clearance; negotiated and drafted trademark licensing agreements, coexistence agreements, and consent agreements; handled administrative proceedings in the Trademark Trial and Appeal Board; and assisted with trademark infringement proceedings in state and federal courts.
