• Represented OmniLytics, Inc. in its cash and stock-for-assets acquisition of AgriPhage, Inc.
• Represented 1-800 CONTACTS, Inc. in connection with cash and stock-for-assets acquisition of Camelot Ventures, LLC and Lens Express LLC, both Michigan limited liability companies, the two largest competitors of 1-800 CONTACTS, Inc.
• Represented Werner Rietschle Holding GmbH and Rietschle GmbH & Co. KG in its sale of stock to Thomas Industries, Inc.
• Represented Community Wireless of Park City, Inc. in connection with cash-for-assets acquisition of a radio broadcasting company
• Represented Making Memories Wholesale, Inc. in management buy-out transaction
• Represented 1-800 CONTACTS, Inc. in the cash and stock-for-assets acquisition of VisionTec, Ltd., a UK company (including contact lens manufacturing facility and related intellectual property), and related financing
• Represented SonoSite, Inc. (NASDAQ:SONO) in its cash-for-stock acquisition of SonoMetric Health, Inc. (including related intellectual property)
• Represent Flying J Inc. in connection with significant cash-for-assets acquisition
• Represented ZARS, Inc. in connection with two common stock venture capital financings, which raised approximately $14 million
• Represented ZARS, Inc. in connection with its Series A venture capital financing, which raised approximately $6 million
• Represented ZARS, Inc. in connection with its Series B venture capital financing, which raised approximately $5 million
• Represented Wasatch Venture Fund in connection with formation of its venture capital funds DFJ Americas Group, L.L.C. and DFJ Hispanic Investment Fund, L.L.C

• Represented ZARS, Inc. in strategic alliances with Johnson & Johnson, Cephalon, Inc., Ferndale Laboratories, and others involving $130 million in capital
• Represent Kennecott Utah Copper and Kennecott Land Company in connection with corporate aspects of land development and real estate matters
• Represent 1-800 CONTACTS, Inc. in restructuring of 1-800 CONTACTS, Inc.'s international operations
