Robert P. Krauss is a partner in the Business and Finance Department and a member of the Mergers and Acquisitions/Private Equity; Investment Management; Life Sciences/Technology; Government Relations, Regulatory Affairs and Contracting; and Transactional Finance Groups. Mr. Krauss concentrates his practice on helping clients structure unique and complex deals. His sophisticated business acumen, acquired in part while heading the mergers and acquisitions department of a public corporation, qualifies him to identify, understand, and help resolve the difficult issues that often arise in sophisticated business transactions.
Mr. Krauss works closely with his clients' accountants and financial advisers to help bring a deal to closing. His broad range of experience includes mergers and acquisitions, leveraged buy-outs (including the use of Employee Stock Ownership Plans), public and private offerings of securities, venture capital transactions, and lending transactions for lenders and borrowers.
Mr. Krauss also has experience in the gaming industry. He helped draft the legislation and rules in Pennsylvania permitting off-track pari-mutuel wagering and currently serves as primary outside corporate counsel to Penn National Gaming, Inc. He worked closely with the Pennsylvania General Assembly in developing the Pennsylvania Race Horse Development and Gaming Act, signed into law on July 5, 2004.
