Douglas M. Fox is a partner in the Business and Finance Department. He practices business, corporate, securities, and technology law, for public and privately held entities across a variety of industry groups.
Mr. Fox has almost 25 years of experience in handling all types of business, corporate, and securities law matters. He regularly represents real estate investment trusts (REITs), mutual funds, and other investment funds and companies. He advises these entities on corporation and trust law matters, including issues of board responsibilities, change in control and proxy contests, mergers and acquisitions, and takeover defenses. Most REITs and many funds are organized under Maryland law, and Mr. Fox and his colleagues at Ballard Spahr have acted as counsel in connection with hundreds of equity and debt offerings and other financing transactions, as well as in dozens of mergers, acquisitions, divestitures, liquidations, and other similar types of transactions involving REITs, mutual funds, and other entities.
Mr. Fox also represents start-up and mature biotechnology and life sciences companies and the research institutions and investment banks that deliver both the intellectual and financial capital necessary to fuel their growth. He currently serves as outside corporate and securities counsel to one of the leading stem-cell therapeutic companies in the world and led the team that took that company public in 2006. Mr. Fox represents licensors and licensees in complex licensing and co-promotion transactions.
