Richard J. Braemer is senior counsel in the Business and Finance Department and a member of the Mergers and Acquisitions/Private Equity Group. He practices in the areas of mergers and acquisitions (representing sellers and buyers), corporate and real estate financings, corporate restructurings, venture capital investments, joint ventures, and executive compensation. Mr. Braemer is extensively involved in general corporate and corporate governance issues, including the representation of directors of public companies and independent committees of boards of directors.

One of Mr. Braemer's most interesting mergers and acquisitions transactions involved representing a corporation whose primary stock listing was on the London Stock Exchange in a "going private" transaction. The corporation was recapitalized with a leveraged buyout firm in a transaction involving the simultaneous acquisition by a private company for cash and stock and a tax-free reorganization with a second company to form a holding company.

Recently, Mr. Braemer advised the independent directors of a NYSE-listed company in a sale transaction that involved related party issues and consideration of a third-party competing bid.
